TERMS OF SERVICE

Applies to the School Ops AIOS platform

This English version is provided for convenience. If there is any inconsistency, the Vietnamese version will prevail to the extent permitted by applicable law.

1. Introduction and acceptance

These Terms of Service ("Terms") form a legal agreement between you ("User", "you") and XSCORE LIMITED COMPANY ("we", "Company"), the owner and operator of the software-as-a-service platform School Ops AIOS available at https://www.nextedu.vn (the "Service").

By registering an account, accessing, or using the Service, you confirm that you have read, understood, and agreed to be bound by these Terms, together with our Privacy Policy and Cookie Policy. If you do not agree, please do not use the Service.

If you use the Service on behalf of an organization, school, or education institution, you represent that you have authority to bind that organization to these Terms.

3. Service description

School Ops AIOS is an online platform that supports education institutions in managing operations and standard operating procedures (SOPs), including creating, storing, assigning, and tracking workflows, documents, and related tasks.

We may add, change, suspend, or discontinue any feature at any time, and will make reasonable efforts to notify users of material changes.

4. User accounts

To use the Service, you may need to create an account. When registering, you agree to:

  • Provide accurate, complete, and up-to-date information;
  • Keep login credentials secure and remain responsible for activity under your account;
  • Notify us promptly if you suspect unauthorized account use.

You must have legal capacity to enter into these Terms. If the Service is used in relation to minors, including students, such use must be managed by the school or legal guardian and supported by valid consent where required by personal data protection laws.

5. User rights and obligations

You agree not to:

  • Use the Service for purposes that violate Vietnamese law or third-party rights;
  • Upload or distribute unlawful, infringing, or malicious content;
  • Interfere with, scan, attack, or disrupt systems, servers, or infrastructure;
  • Access another user's data or account without authorization;
  • Copy, distribute, reverse engineer, or exploit the Service beyond the permitted scope.

You are solely responsible for the legality and accuracy of data and content you upload to the Service ("Your Content"), including ensuring valid consent when personal data of third parties such as students, parents, or staff is processed in the system.

6. Intellectual property

All software, interface designs, source code, trademarks, logos, and materials of School Ops AIOS are owned by the Company or its licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service in accordance with these Terms.

You retain ownership of Your Content and grant us the right to store, process, and display Your Content as necessary to provide and operate the Service.

7. Service plans and payment

The Service may be offered under free and/or paid plans. For paid plans, fees, billing cycles, and payment methods will be disclosed at registration. Fees paid are non-refundable unless required by law or stated in a separate policy. We may change fees with reasonable prior notice.

8. Suspension and termination

We may suspend or terminate an account if you violate these Terms, harm the Service or other users, or if required by a competent authority.

You may stop using the Service and request account deletion at any time via [email protected]. After termination, some data may be retained as required by law and our Privacy Policy.

9. Disclaimers and limitation of liability

The Service is provided on an "as-is" and "as-available" basis. To the maximum extent permitted by law, we do not warrant that the Service will be uninterrupted, error-free, or meet every specific requirement.

To the extent permitted by law, we are not liable for indirect, incidental, special, or consequential damages arising from the use of, or inability to use, the Service. Our total liability, if any, will not exceed the fees you paid in the 12 months preceding the event giving rise to liability.

10. Indemnification

You agree to indemnify and hold the Company harmless from claims and losses arising from your breach of these Terms or violation of third-party rights.

11. Changes to these Terms

We may update these Terms from time to time. The new version will be posted on the website with its effective date. Continued use of the Service after changes take effect means you accept the updated Terms.

12. Governing law and dispute resolution

These Terms are governed by the laws of Vietnam, including the Personal Data Protection Law 2025 (Law No. 91/2025/QH15), the Law on Electronic Transactions 2023, and related regulations. Disputes should first be resolved through negotiation or mediation; if unresolved, they will be submitted to a competent court in Vietnam.
